Terms of service
Effective date: 20 September 2026
These terms govern access to and use of Investryx, the fund operating system offered by New Summer Inc. (“New Summer”, “we”, “us”) at investryxai.com and app.investryxai.com, including the Investryx investor portal (together the “Service”). By creating a workspace, accepting an invitation or using the Service you agree to these terms on behalf of yourself and, where applicable, the firm you represent (the “Customer”).
1. The Service
Investryx is software for sourcing, relationship management, deal pipeline, portfolio and performance tracking and investor (“LP”) reporting, delivered as a hosted subscription. We may improve or change features over time; we will not materially reduce the core functionality of a paid plan during a subscription term without notice. Features marked beta or preview are provided as-is and may change or be withdrawn.
2. Accounts and workspaces
A workspace belongs to the Customer that created it. The Customer’s owners and admins control who can join, what they can see and when access ends, and are responsible for their team’s use of the Service. You must keep sign-in credentials confidential and notify us promptly of any unauthorised use. One person may not share a login; seats are unlimited on every plan, so invite each user individually.
3. Investors and other invited users
Customers may invite LPs, founders and other third parties to read reports, submit information or sign in to the LP portal. Those users get access only to what the Customer publishes to them. The Customer is responsible for having the right to share that information and for telling its investors that document access is logged and that PDF downloads are watermarked with the downloader’s email and date. Invited users use the Service under these terms; they owe no fees to us.
4. Plans, trials and billing
Plans are priced per vehicle tier (Angel, Emerging, Established, Institutional) as shown on our pricing page, with unlimited seats. Angel, Emerging and Established are self-serve: at signup the Customer chooses a plan and billing cycle and registers a payment card through our payment provider, Stripe. Institutional is contracted with our sales team; the card and trial rules in this section do not apply to it unless the order form says otherwise.
Every self-serve workspace starts with a 14-day free trial on the plan chosen at signup. Nothing is charged during the trial. When the trial ends, the card on file is charged automatically for the first billing period unless the Customer has cancelled before then; we send a reminder before the charge. The subscription then renews monthly or annually until cancelled.
Fees are charged in advance in US dollars; taxes are added where applicable. Upgrades take effect immediately with proration; downgrades take effect at the end of the current period. Except where the law requires otherwise, fees are non-refundable. If a plan’s vehicle limit is exceeded, we may ask you to upgrade before new vehicles can be created. We may change prices with at least 30 days’ notice, effective at your next renewal.
The Customer may cancel at any time from Settings → Billing, which opens the Stripe customer portal. A cancellation during the trial takes effect at the end of the trial and nothing is charged. A cancellation after the trial takes effect at the end of the current billing period, and access continues until then.
If a payment fails, we notify the Customer and retry the card. Full access continues for 7 days; if the payment is still outstanding after that, the workspace becomes read-only until a plan is active again. In read-only mode the team can sign in, view data, request an export and use the billing page, but cannot create or edit records. The same read-only mode applies when a subscription ends or when signup checkout is never completed. The LP portal keeps serving reports that were already published for 30 days after a subscription lapses; after that, investors see a notice that the portal is unavailable.
After 90 days in read-only mode we email a deletion notice to the workspace owner. Unless a plan is reactivated within 30 days of that notice, the workspace and its Customer Data are deleted. Billing records are kept for as long as the law requires. Card data is processed by Stripe; we store only the card brand and last four digits for display.
5. Customer data
Customers own the data they and their invited users put into the Service (“Customer Data”). Customers grant us the rights needed to host, process, back up, display and transmit Customer Data to provide the Service and to comply with law. We process personal data in Customer Data as the Customer’s processor as described in our privacy policy and, where required, a data processing addendum. We do not use Customer Data to train machine-learning models, and we do not sell it. Customers can request a full export of their data at any time and for 90 days after termination; we provide it in machine-readable files together with the original documents.
6. AI features
Enrichment, research, drafted memos and letters, notification drafts and the agent co-pilot are generated by AI models and may be inaccurate or incomplete. AI output is labelled and, where applicable, shows its source and confidence. The Customer is solely responsible for reviewing AI output before relying on it or sharing it with an investment committee, an investor or any third party. Nothing in the Service is investment, legal, tax or accounting advice.
7. Acceptable use
You may not: use the Service to violate law or third-party rights; upload malware or content you have no right to share; attempt to access another customer’s data or circumvent security or rate limits; resell or white-label the Service except as a plan expressly allows; use automated means to scrape the Service beyond its documented API; or use the Service to send unsolicited communications. We may suspend access that threatens the security or integrity of the Service, with notice where practicable.
8. Third-party services
The Service relies on subprocessors listed in our privacy policy (including our cloud infrastructure provider, Stripe and our email delivery provider) and may connect to third-party services you authorise, such as Google Workspace. Your use of those services is governed by their terms. We are not responsible for third-party services, and enrichment data drawn from public sources is provided as-is.
9. Intellectual property
We and our licensors own the Service, its software, design and documentation. Subject to these terms, we grant the Customer a non-exclusive, non-transferable right to use the Service during the subscription. Feedback you give us may be used without obligation. Investryx and the Investryx logo are trademarks of New Summer Inc.
10. Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only to perform under these terms. Customer Data is the Customer’s confidential information. This obligation survives termination for five years, and indefinitely for trade secrets.
11. Security and availability
We implement technical and organisational measures appropriate to the risk, described in our privacy policy and security page. We target 99.9% monthly availability for paid plans, excluding scheduled maintenance announced in advance and events outside our control. Service-level commitments and credits for Institutional plans are set out in the order form.
12. Term, suspension and termination
These terms apply from your first use and continue while you have a workspace. Customers may cancel at any time from Settings → Billing; the subscription ends at the close of the current period. We may terminate or suspend for material breach not cured within 30 days of notice, for non-payment after 14 days’ notice, or immediately where required to protect the Service or comply with law. On termination the workspace becomes read-only and we make Customer Data available for export for 90 days; we then email a deletion notice to the workspace owner and delete the data 30 days after that notice unless a plan is reactivated, in accordance with our retention schedule.
13. Warranties and disclaimers
We warrant that the Service will perform materially as described in our documentation. Except as expressly stated, the Service is provided “as is” and we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law. We do not warrant that AI output, enrichment data, performance calculations or reports are accurate, complete or suitable for regulatory filings; the Customer remains responsible for its fund accounting and investor communications.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data, arising out of these terms. Each party’s total liability arising out of these terms is limited to the fees paid or payable by the Customer to us in the twelve months before the event giving rise to the claim. These limits do not apply to breaches of confidentiality, infringement of the other party’s intellectual property, a party’s indemnification obligations, or liability that cannot be limited by law.
15. Indemnification
The Customer will defend and indemnify us against third-party claims arising from Customer Data or the Customer’s use of the Service in breach of these terms or applicable law. We will defend and indemnify the Customer against third-party claims that the Service, used as permitted, infringes that third party’s intellectual property rights, and we may modify or replace the Service or terminate the affected subscription with a pro-rata refund if such a claim arises.
16. Governing law and disputes
These terms are governed by the laws of Japan, without regard to conflict-of-law rules. Disputes will be resolved exclusively by the Tokyo District Court, Japan, as the court of first instance, except that either party may seek injunctive relief in any competent court.
17. Changes to these terms
We may update these terms by posting the new version on this page with a new effective date. For material changes we will give at least 30 days’ notice by email or in the product. Continued use after the effective date constitutes acceptance; if you do not agree, cancel before the changes take effect.
18. General
These terms, our privacy policy and any order form are the entire agreement between the parties regarding the Service. If a provision is unenforceable the rest remains in effect. Neither party may assign these terms without consent, except to a successor in a merger or sale of substantially all assets. Notices to us: info@investryxai.com; notices to Customers go to the workspace owners’ email addresses.
